Arabic to English: التحكيم التجاري في عقود الاستثمار الاجنبية General field: Law/Patents
Source text - Arabic في كثير من الاحيان يتردد المستثمر الاجنبي في استثمار امواله في دولة اجنبية نظرا لمعرفته مقدما انه سيخضع للقضاء الداخلي للدولة التي يريد ان يستثمر فيھا امواله وذلك لفض المنازعات التي تحصل بينه وبين الدولة المستقطبة للاستثمار وانه لا يعرف بقضاء ھذه الدولة ولكون الدولة المستقطبة للاستثمار تكون الحكم والخصم في آن واحد ونظرا لعدم امكانية المستثمر الاجنبي اللجوء الى القضاء الدولي بصفته الشخصية وبشكل مباشر لذلك اتجه السلوك الى اعتماد نظام التحكيم التجاري بوصفه الوسيلھة الانسب لفض المنازعات إن التحكيم يعطي الحرية المناسبة لاطراف النزاع في اختيار ھيئة التحكيم او اللجوء الى المراكز الدولية للتحكيم واختيار القواعد القانونية التي يمكن ان تطبق على النزاع لذلك نجد أن اغلب دول العالم قد نصت في قوانينھا الى السماح باللجوء الى التحكيم.وحتى نلم بموضوع التحكيم لا بد من دراسة الاتفاق على التحكيم واجراءاتھ والقرار الذي يصدر عنها :-
اولا:- اتفاق التحكيم- ان التحكيم يقوم اساسا على مبدا الرضا لذلك لا بد من توفر الرضا لدى الاطراف المتنازعة ،المستثمر الاجنبي والدولة المستقطبة للاستثمار ، فاذا تخلف ذلك تعذر عرض النزاع على التحكيم وھذا ما اكدته محكمة العدل الدولية من ان (مبدا عدم امكان الزام الدولة بإحالة منازعاتھا على التحكيم دون رضاھا ھو احد المباديء المستقره تماما في القانون الدولي) ان الاتفاق على التحكيم قد يكون من خلال شرط في العقد البرم بين الدولة ممثلة بھيئة الاستثمار في العراق والمستثمر الاجنبي وقد يكون ذلك من خلال اتفاق بين اطراف النزاع وقد ذھب المشرع العراقي في قانون المرافعات رقم 83 لسنة 1969 ، يجوز الاتفاق على التحكيم في نزاع معين كما يجوز الاتفاق عليه في جميع المنازعات التي تنشأ من تنفيذ عقد معين ،اما ما يتعلق بالقانون الواجب التطبيق في التحكيم في اي نزاع بشأن الاستثمار فان الاطراف ھم الذين يحددون القانون الواجب التطبيق فقد يتفقوا على تطبيق قانون الدولة المستقطبة للاستثمار او قانون دولة اخرى او اية قواعد قانونية دولية.
ثانيا :- اجراءات التحكيم –ان البحث في اجراءات التحكيم تستلزم التعرف على كيفية تشكيل ھيئة التحكيم والاجراءات التي تتبعھا ھذه الھيئة، ان الصيغة الشائعة في اختيار ھيئة التحكيم والتي اخذت بھا كثير من قوانين الاستثمار في دول العالم المختلفة ھو تشكيل ھيئة من ثلاثة محكمين يختار كل طرف من اطراف النزاع محكم وان ھذين المحكمين يختاران المحكم الثالث واذا لم يتفقوا على اختياره يناط امر تعيينه الى جھة قضائية وطنية او اجنبية او دولية وفي بعض الاحيان يحال النزاع الى مؤسسات تحكيمية متخصصة يتم الاتفاق عليھا بين الاطراف .
اما اجراءات التحكيم فان الامر يختلف فاذا ما احيل النزاع الى مؤسسة من مؤسسات التحكيم فان الاجراءات التي تتبعھا ھذه المؤسسة ھي التي يجري من خلالھا حل النزاع ولا دور لارادة الاطراف المتنازعة بشان اقرارھا اما اذا كان النزاع قد عرض على ھيئة تحكيم معينة من الاطراف المتنازعة فان اجراءات التحكيم تتقرر من قبل الاطراف المتنازعة او اختيار القانون الذي يحكم سير المنازعة كما وان قانون المحل الذي يجري فيه التحكيم قد يكون له ذات الدور خاصة اذا ما انصرفت ارادة الاطراف الضمنية الى ذلك وقد يترك امر اختيار اجراءات التحكيم الى ھيئة التحكيم ھي التي تقرر ذلك شريطة ان لاتخل ھذه الاجراءات بحقوق وضمانات الاطراف المتنازعة وان لا تخل بالمساواة والعدالة بين اطراف النزاع .
Translation - English The foreign investor frequently hesitate to invest his money in a foreign country because of his previous knowledge that he will undergo the internal jurisdiction of the country in which he wants to invest his money in order to close the disputes that occur between him and the investment polarized country and that he does not know the jurisdiction of this country also the fact that the polarized country of investment is the judge and the opponent at the same time. Given the inability of the foreign investor to recourse to the international jurisdiction in person and in a direct way. Therefore, the action was adopting the commercial arbitration system as the most proper means for settling disputes. The arbitration grants the appropriate freedom to the parties of the dispute to select an arbitration commission or turning to the international arbitration centres and choosing legal rules that could be applied on the dispute. Consequently, we find that most of the countries of the world have stipulated in their laws to allow resorting to arbitration.
In order to understand the subject of arbitration, it is needed to study the accord on arbitration and its procedures and the decision issued:
First: - Arbitration accord - Arbitration is based mainly on the principle of satisfaction, therefore there must be satisfaction with the conflicting parties, the foreign investor and the polarizing country for investment. If they differ, the dispute cannot be submitted to arbitration, and this is confirmed by the International Court of Justice that (The principle that the state cannot transmits its disputes to arbitration without its satisfaction is one of the principles fully established in international law) the accord on arbitration may be through a condition in the contract endorsement between the state represented by the investment commission in Iraq and the foreign investor, which may be through an accord between the parties. The Iraqi legislator went to the Law of Procedures No. 83 of 1969, it is permissible to accord on arbitration in a specific dispute, as it may be agreed upon in all disputes that arise from the implementation of a certain contract. As for the law applicable in arbitration in any investment dispute, the parties are the ones who determine the applicable law, they may agree to apply the law of the country attracting investment or the law of other countries or any international legal rules.
Second: - Arbitration procedures - The search in arbitration procedures requires recognising the mode of forming an arbitration commission and the procedures that this commission follows, that the common formula for choosing an arbitration body that many of the investment laws have been adopted in the different countries of the world is the formation of a panel of three arbitrators. Each one of the parties chooses an arbitrator, and these selected arbitrators choose the third one. If they do not agree, his appointment shall be entrusted to a national, foreign or international judicial body, in some cases the dispute shall be transmitted to specialized arbitration institutions to be agreed upon between the parties.
When it comes to the arbitration procedures, the matter is different if the dispute is transmitted to one of the arbitration institution, the procedures followed by this institution are the ones through which the dispute is resolved and there is no role for the will of the opposing parties regarding its adoption. But if the dispute was presented to a specific arbitration commission designated by the opposing parties, then the procedures of arbitration are decided by the conflicting parties or choosing the law that rules the conduct of the dispute; in addition to that the law of the place in which the arbitration took place may has the same role, especially if the will of the parties in dispute is deviated from that. It is permissible to left the issue of selecting the procedures to a commission of arbitration provided that these procedures do not violate the rights and guarantees of the opposing parties and the equality and justice between them.
