3) XXXXXXXXXXXX XXXXX, inscrita no Registro de Comércio do Tribunal da Primeira Instancia (XXXX) XXXXXX (Alemanha) sob o n.º HRB XXXX, com endereço profissional na rua XXXXXXX X-X, XXXX, Viena - Austria, representada neste ato pelo xxxxxxxxx, doravante denominada FABRICANTE.
Ambas conjuntamente denominadas de PARTES têm entre si, justo e contratado, firmar o presente Contrato de Fornecimento, de acordo com as seguintes cláusulas e condições:
Considerando:
• Que a FORNECEDORA declara possuir a expertise necessária para a realização do fornecimento deste contrato, bem como se compromete a atender aos interesses e condições da CONTRATANTE;
• Que as PARTES declaram que o presente Contrato é firmado nos limites de sua função social, ficando expressamente resguardados os princípios da lealdade e boa fé;
• Que PARTES declaram o seu expresso consentimento quanto às cláusulas e condições deste ajuste que não implica em lesão de qualquer direito, não se aplicando aqui as disposições do artigo 157 do Código Civil Brasileiro;
• Que as PARTES ainda declaram que exercem a sua liberdade de contratar, observados os preceitos de ordem pública e o princípio da função social do presente Contrato, que atende também aos princípios da economia, razoabilidade e oportunidade, permitindo o alcance dos respectivos objetivos societários das partes e atividades empresariais, servindo, consequentemente, a toda a sociedade;
• Que as PARTES declaram que não há qualquer abuso de direito, a qualquer título, neste Contrato, e que serão sempre resguardados na sua execução os princípios da boa-fé e da probidade, presentes tanto na sua negociação, quanto na sua celebração;
• Que a FABRICANTE declara possuir todas as licenças, permissões e/ou autorizações, que sejam da responsabilidade da mesma e necessárias ao fornecimento ora contratado, sendo certo que será a única e exclusiva responsável pelo fornecimento, perante a CONTRATANTE mantendo-a livre e a salvo de quaisquer responsabilidades oriundas de tal fornecimento nos exatos termos do disposto abaixo.
• Que a FORNECEDORA e FABRICANTE declara conhecer a Instrução de Trabalho – IT- XXX-000 Rev 01, bem como o Termo de Referencia – TR-GPS-000-0000 e aplicará as exigências técnicas neles contidos, sendo que qualquer modificação deverá ser previamente e por escrito aprovado pela CONTRATANTE.

3) RAWIE XXXXX, enrolled with the Commerce Registry of XXXXX Court (XXXXX) - Germany under no. HRB 0000, with headquarters on XXXXXXX 0-0, 0000, Viena - Austria, herein represented by xxxxxxxxx, hereinafter referred to as MANUFACTURER.
Both collectively referred to as PARTIES, have decided to execute this PROCUREMENT CONTRACT, as per the following clauses and conditions:
Considering
• That the CONTRACTOR declares to have the expertise needed to provide the supply herein, as well as to commit to fulfill the CONTRACTING PARTY's interests and conditions.
• That the PARTIES declare this Contract is entered into insofar as the limits of its social function, and the principles of loyalty and good faith are expressly preserved.
• That the PARTIES declare that their express consent in regards to the clauses and conditions herein does not imply in breach of any rights; provisions from article 157 of Brazilian Civil Code do not apply hereto.
• That the PARTIES also declare they exercise their freedom to contract, observing the principles of public order, and the social function principle herein, which also complies with the principles of economy, reasonability, and opportunity, allowing the achievement of the following corporate goals from the parties and business activities, hence, serving the whole society.
• That the PARTIES declare that herein there is no abuse of rights whatsoever, for any reasons, and that herein, the principles of good faith and honesty shall be preserved, both in the negotiation and in the execution of this contract;
• That the MANUFACTURER declares they possess all the licenses, permits and/or authorizations which are their responsibility and needed for the supply herein contracted for. They shall be solely responsible for the supply before the CONTRACTING PARTY, keeping this party free and clear of any responsibilities arising from such supply, exactly as provided below.
• That the CONTRACTOR and the MANUFACTURER declare they know Work Instruction – WI- XXX-000 Rev 01, as well as the Terms of Reference – TR-GPS-000-0000 and shall meet the requirements therein. Any modifications shall be previously consented to in writing by the CONTRACTING PARTY.

Source text - English This agreement ("Agreement") is entered into by and between XXX XXXXXXX XXXXX XXXXXXX Ltda., a limited liability company duly incorporated and validly existing under the Laws of Brazil and having its registered office at Avenida XXXX XXXX XXXXXX, 0000, XXXXXXX, Minas Gerais, (“XXX I") acting as purchasing agent in name and on behalf of the company identified below and the Supplier hereinafter identified (“Supplier”):

This Agreement summarizes the agreement between Companies and the Supplier concerning to efficiencies in terms of prices and costs reductions that the Supplier agree to recognize to Companies during the period specified in Annex 1 ("Period").
1. Following the confirmation by Companies of the business quota assignment under Article 2 below, the Supplier agree, during the Period, to reduce the net prices of the components (“Components”) that the Supplier currently provides to Companies. The percentage of such reduction for each year of the Period is set forth in Annex 2 and shall be applied on all invoices issued by the Supplier starting from the date of commencement of the Period. Each yearly reduction’s percentage shall be applied to the prices in force at the end of the previous year. Starting from 2015, the reduction for the following year will be granted when the Companies order the demand from the Supplier, listed in Annex 2.
The Supplier agree, during the Period, to negotiate in good faith the increase of the percentages of reduction and yearly on off discount as for Annex 2.
2. Subject to the above mentioned Supplier’s commitments and to the Supplier’s compliance with the provisions set forth in Article 3 below, Companies confirms its intention to:
a) continue to reserve to the Supplier, during the Period, the current percentage of assignment of its annual requirement of Components currently supplied to Companies;
b) reserve to the Supplier, during the Period, the right of "last call" for possible future supplies of components replacing the existing Components;
c) invite the Supplier to participate to the sourcing activities that XXX could start in the Period, concerning solely and exclusively the components presently manufactured by the Supplier and for which the Supplier uses advanced and competitive technologies and know-how that are advanced and competitive when compared with existing on the relevant market field.
d) to index the raw material on current production components, price will be adjusted once a year, the Companies and Supplier undertake to adjust the price list, accordingly to Annex 5.
3. The provisions of the Article 2 above are subject to the following conditions:
a) the Supplier continuous compliance with the requirements of competitiveness in terms of quality, service, reliability, time to market, technical and innovation level;
b) the Supplier continuous ability to maintain its prices and supply terms and conditions in line with those offered by the best competitors in the market, if the Companies provide evidence of;
c) the Supplier commitment to cooperate with Companies for activating and implementing all possible technical measures to reduce the manufacturing costs of the Components and their prices.
4. This Agreement is effective as of the date of the signature by the Supplier and shall continue for the duration of the Period. If the initial date of the Period as set forth in Annex 1, is earlier than the date of entry into force of this Agreement, Companies will issue debit note to the Supplier for the amount equal to the difference between the prices paid to Supplier and the prices that should have been paid applying the reductions referred to in Article 1 above. This amount may be offset by Companies with any amounts due by Companies to the Supplier.
5. If during the Period the Supplier fails to comply with any or all of the conditions referred to in Article 3 above:
a) Companies will immediately inform the Supplier of such failure and the Supplier shall remedy such failure within 30 (thirty) days;
b) if the Supplier does not remedy such failure to comply with Article 3 above within the notice period as per point a) above, Companies shall be entitled not to comply anymore with the provisions of Article 2 above, including the right to reduce or cancel the assignment of a given percentage of its annual requirement of Components, provided that in case of reduction only, the Supplier shall continue to apply the prices’ reduction set forth in Annex 2
c) Provided that Companies exercises any of their rights provided for under sec. 5 lit b) of this agreement, the Supplier is entitled to request within 30 (thirty) days notice period an extraordinary termination of this agreement. In absence of any notification the Agreement is considered effective without interruptions.
Companies and Supplier are in agreement that, as far as legally permissible, the remedies provided for in this sec. 5 shall be the exclusive remedies available to Companies. All other remedies, notwithstanding its legal basis, shall be excluded, save for any remedies of Companies and/or Supplier based on willful deceit or intentional breach of contract.
6. The Supplier and Companies reserve the right to renegotiate annually prices for the next calendar year if tonnage exceeds a range specified in Annex 6.
a) Provided that Supplier exercises any of his rights provided under this sec. 6 of this Agreement the Companies and Supplier will enter in 90 (ninety) days negotiating period to define new settlement.
b) If any settlement is agreed by both parties within terms provided under sec.
6 lit a) the Companies are entitled to an extraordinary termination of this agreement to be communicated with 30 (thirty) days’ notice period.
7. Companies and the Supplier shall treat as confidential and shall not disclose to any third party the contents and the existence of this Agreement.
8. This Agreement sets forth the general understanding of the Parties hereto with respect to the matter covered herein and therein and supersedes all prior agreements between the Parties. For everything that is not provided for in this Agreement the supply relationships between Companies and Supplier shall continue to be governed by the terms and conditions currently in effect between them. The percentage of assignment mentioned in Article 2 above does not imply any commitment of Companies to purchase a given volume of Components.
9. The Annexes are made a part hereof and form an integral and substantial part of this Agreement.

Este contrato representa o acordo entre as Empresas e o Fornecedor com relação às eficiências em termos de reduções de preços e custos, as quais o Fornecedor declara reconhecer durante o período especificado no Anexo 1 («Vigência»).
1. Após a confirmação pelas empresas da quota de negócios mencionada no Artigo 2 abaixo, o Fornecedor se compromete, durante a Vigência, em reduzir os preços líquidos dos componentes («Componentes») que o Fornecedor atualmente fornece às Empresas. A porcentagem dessa redução para cada ano da Vigência é estabelecida no Anexo 2 e deverá valer para todas as faturas emitidas pelo Fornecedor, a contar da data inicial da Vigência. Cada porcentagem anual de redução deverá ser aplicada nos preços praticados no fim do ano anterior. A partir de 2015, a redução para o ano seguinte será concedida quando as Empresas fizerem os pedidos ao Fornecedor, conforme a lista no Anexo 2.
O Fornecedor se compromete, durante a Vigência, a negociar em boa fé o aumento das porcentagens de redução; e, anualmente, sobre os descontos previstos no Anexo 2.
2. Sujeito aos compromissos supracitados do Fornecedor e ao cumprimento, por parte do Fornecedor, às disposições do Artigo 3 abaixo, as Empresas confirmam sua intenção de:
a) continuar a reservar ao Fornecedor, durante a Vigência, a porcentagem atual do estabelecimento de suas exigências anuais de Componentes atualmente fornecidos às Empresas;
b) reservar ao Fornecedor, durante a Vigência, o direito de estabelecer o «último pedido» em relação a possíveis suprimentos futuros de componentes em substituição aos componentes existentes;
c) convidar o Fornecedor a participar de atividades de fornecimento que a XXX possa iniciar durante a Vigência, exclusivamente a respeito de componentes fabricados atualmente pelo Fornecedor, e para os quais o Fornecedor usa tecnologias competitivas e know-how competitivo e avançado em comparação a outras empresas em seu setor.
d) a fim de indexar as matérias-primas aos componentes atualmente produzidos, o preço será reajustado a cada ano. As Empresas e o Fornecedor se comprometem a reajustar a lista de preços de acordo com o Anexo 5.
3. As disposições do Artigo 2 acima são sujeitas às seguintes condições:
a) à conformidade contínua por parte do Fornecedor às exigências de competitividade em termos de qualidade, serviços, confiança, tempo de mercado, nível técnico e de inovação;
b) a capacidade do Fornecedor em manter seus termos e condições de preços e suprimento em linha com aqueles oferecidos pelos melhores concorrentes no mercado, se as Empresas fornecerem evidências de;
c) o compromisso do Fornecedor em cooperar com as Empresas para ativar e implantar todas as medidas técnicas possíveis no sentido de reduzir os custos de fabricação e preços dos Componentes.
4. Este Contrato torna-se vigente a partir da data em que for executado pelo Fornecedor, e assim continuará durante a duração da Vigência. Se a data inicial da Vigência, conforme estabelecido no Anexo 1, começar antes da execução deste Contrato, as Empresas emitirão uma nota de débito ao Fornecedor na quantia correspondente à diferença entre os preços pagos ao Fornecedor e os preços que deveriam ter sido pago após a aplicação dos descontos mencionados no Artigo 1 acima. Esta quantia pode ser compensada pelas Empresas com quaisquer quantias devidas pelas Empresas ao Fornecedor.
5. Se, durante a Vigência, o Fornecedor deixar de cumprir qualquer uma das condições mencionadas no Artigo 3 acima:
a) As empresas imediatamente informarão o Fornecedor sobre tal descumprimento, e o Fornecedor deverá sanar o problema dentro de 30 (trinta) dias;
b) Se o Fornecedor não sanar o problema de modo a cumprir o Artigo 3 acima dentro do período mencionado no item a) acima, as Empresas terão o direito de deixar de cumprir as disposições do Artigo 2 acima, inclusive o direito de reduzir ou cancelar a provisão de uma certa porcentagem de suas exigências anuais de Componentes. Se houver somente redução, o Fornecedor continuará a aplicar a redução de preços estabelecida no Anexo 2.
c) Se as Empresas exercerem qualquer um dos seus direitos estabelecidos na Seção 5 b) deste contrato, o Fornecedor terá o direito de solicitar, com 30 dias de antecedência, a rescisão extraordinária deste contrato. Na ausência de notificações, o Contrato é considerado válido, sem interrupções.
As Empresas e o Fornecedor concordam que, à medida que forem legalmente exigíveis, as tutelas previstas na seção 5 serão as tutelas exclusivas disponíveis às empresas. Todas outras tutelas, não obstante suas bases legais, serão excluídas, com exceção de quaisquer tutelas das Empresas e/ou Fornecedor baseadas em conduta enganosa ou quebra intencional do contrato.
6. O Fornecedor e as Empresas se reservam ao direito de renegociar os preços anualmente para o próximo ano calendário se a arqueação anual exceder a faixa especificada no Anexo 6.
a) Se o Fornecedor exercer qualquer um de seus direitos previstos na seção 6 deste contrato, as Empresas e o Fornecedor iniciarão um período de negociações de 90 (noventa) dias com o intuito de definir um novo acordo.
b) Se ambas as partes chegarem a um acordo nos termos da seção 6 a), as Empresas terão o direito a uma rescisão extraordinária deste contrato, a ser comunicada com 30 (trinta) dias de antecedência.
7. As Empresas e o Fornecedor tratarão o conteúdo e a existência deste acordo como confidenciais, não devendo divulgá-lo a terceiros.
8. Este acordo estabelece o entendimento geral das Partes deste contrato a respeito do assunto abordado aqui, e revoga todos os contratos anteriores entre as Partes. Para tudo o mais que não for previsto neste contrato, as relações de suprimento entre as Empresas e o Fornecedor continuarão sendo regidas pelos termos e condições atualmente vigentes entre elas. A porcentagem da provisão mencionada no Artigo 2 acima não implica qualquer compromisso das Empresas de comprar um certo volume de Componentes.
9. Os Anexos são parte deste contrato, formando uma parte integral e substancial dele.
