Sundown Payment
Without limiting the generality of the foregoing, it is specifically agreed that no sundown/close payment or other compensation shall be due to XY by reason of expiration or termination of this Agreement, especially in view of the facts that (a) the parties have agreed that no license fee/down payment shall be paid to ABC Inc. by XY for granting the right to import, market, distribute and sell the Products in Germany, (b) the Parties understand, covenant and agree that if a compensation were to be paid to XY upon the termination of this Agreement, ABC Inc. would never enter into this Agreement under the agreed economic terms, and (c) the Parties have agreed on the pricing and cost structure of this Agreement taking as granted that, for the reasons mentioned here above
